We strongly need the exact legal equivalent of US LLC in Europe.
As a solo indie hacker, the only thing I need is a legal solution to limit my responsibility and avoid disclosing my address and personal details in invoices, app stores, emails, privacy policy, and terms of use. I just need a light “middleware” between clients and me.
In my country (Spain), owning a corporation (SL) as a solo developer is seen like “suspicious” by the government, and they put lots of problems if you don’t have “enough structure” (employees, office). If you choose solo mode, they force you to withdraw almost all the revenue from your corporation to your personal account, and if you don’t do that, you risk going to jail for tax fraud. Once you withdraw the money, you will need to issue invoices to your own corporation, with 21% VAT and 20% tax retention. Plus extra 30% personal tax at the end of the year. Why an extra 21% VAT???? 😤 Check how US LLC work and you will understand why Europe is lagging behind.
We need the legal solution of LLC: tax deduction for expenses, limited liability, and no disclosure of personal details. But we don’t want the legal problems of owning a corporation. I don’t need employees, I just hire freelancers. I don’t need an office. I don’t want to keep a complex accountability and worry about my company’s asset valuation (apps, brands, recurrent customers), exit tax, VAT and invoices between me and my company.
US LLCs solve many of these issues, specially because you can make multiple LLCs with almost zero cost, and all the revenue flows to the owner, so accounting is minimal. They are easy to create and to sell. You can change their name and address fast and easy. They are made to be simple.
